Terms of Use

This Terms and Conditions of Use Agreement (“Agreement”) is a legal agreement between you and Integra Partners Holdings, Inc. and its affiliates(collectively “Integra“) governing your use of this website (the “site”). The information and content on this website is for your general educational information only and should not be considered medical advice. If you are experiencing a medical emergency, you should not rely on any information on this site and should seek appropriate emergency medical assistance, such as calling “911”.

Your use of this site is subject to the terms and conditions of this Agreement. By accessing, using and/or viewing our site, you hereby agree to be bound by the terms of this Agreement. If you do not agree to the terms and conditions, you must exit this site.

We reserve the right to change the terms of this Agreement at any time. If you access our site at any time after such a change in terms of the Agreement is posted, then you are deemed to have accepted and agreed to all of the revisions.

Content Rights

The site and its tools, design, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof) are owned by Integra, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. These Terms of Use grant you limited personal rights to use the site for purposes of processing claims on behalf of the Provider, but you are prohibited from reselling, sublicensing or otherwise commercializing the site in any way.

Integra does not control, verify, or endorse the content that you and others make available on the site. You are responsible for any content that you transmit or upload, including its legality, reliability, accuracy and appropriateness. If you share content on the site in a way that violates or infringes others’ rights, including intellectual property rights or privacy rights, you are breaching these Terms of Use. Integra may remove your content from the site at any time if you breach these Terms of Use.

Intellectual Property Rights

Trademarks, logos and service marks (“Marks”) displayed on the site are registered and unregistered trademarks of Integra, its licensors or content providers, or other third parties. All of these Marks are the property of their respective owners. In addition, the site, including, without limitation, all of its content, including but not limited to its workflow, design, graphics, software and code, and the selection and arrangement thereof (“Content”), is protected under the copyright and other intellectual property laws of the United States and other countries. Integra reserves all right, title and interest in and to all intellectual property and all other proprietary rights in the site, including, without limitation, all Marks and Content therein.

Prohibited Uses

You agree not to use the site: (a) in any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding personal data or protected health information privacy and security), (b) in any way that infringes any patent, trademark, trade secret, copyright or other intellectual property or other rights of any other person, (c) to transmit or upload any content which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable, (d) to promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age, (e) for the purpose of exploiting, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise, (f) to transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter” or “spam” or any other similar solicitation, (g) to impersonate or attempt to impersonate Integra, an Integra employee, another user or any other person or entity (including, without limitation, by using e-mail addresses or registration names associated with any of the foregoing), (h) to engage in any other conduct that restricts or inhibits anyone’s use or access of the site, or which, as determined by Integra, may harm Integra or other users of the site or expose them to liability, (i) to promote any illegal activity, or advocate, promote or assist any unlawful act, (j) to knowingly present or cause to be presented a false or fraudulent claim for payment or approval; (k) to knowingly make, use or cause to be made or used, a false record or statement to get a false or fraudulent claim paid or approved; (l) to conspire to defraud by getting a false or fraudulent claim paid or approved; or (m) to knowingly make, use or cause to be made or used, a false record or statement to conceal, avoid or decrease an obligation to pay or transmit funds

In addition, in using the site, you shall not (i) use the site in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the site, including their ability to engage in real time activities through the site, (ii) use any robot, spider or other automatic device, process or means to access the site for any purpose, including monitoring or copying any of the material on the site, (iii) use any manual process to monitor or copy any of the material on the site or for any other unauthorized purpose without Integra’s prior written consent, (iv) use any device, software or routine that interferes with the proper working of the site, (v) introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or technologically harmful, (vi) attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the site, the server on which the site is stored, or any server, computer or database connected to the site, (vii) attack the site via a denial-of-service attack or a distributed denial-of-service attack, or (viii) otherwise attempt to interfere with the proper working of the site.

Monitoring and Enforcement; Termination

Integra does not undertake to review material before it is uploaded on the site, and cannot ensure prompt removal of objectionable material after it has been uploaded. Accordingly, Integra assumes no liability for any action or inaction regarding transmissions, communications or content provided by any user or third party. Integra has no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Notwithstanding the preceding paragraph, Integra has the right to take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the site, and to terminate or suspend your access to all or part of the site for any or no reason, including without limitation, any breach of these Terms of Use. In addition, Integra has the right to fully cooperate with any law enforcement authorities or court order requesting or directing it to disclose the identity or other information of anyone posting any materials on or through the site. YOU WAIVE AND HOLD HARMLESS INTEGRA, ITS EMPLOYEES, MEMBERS, OFFICERS, DIRECTORS AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS AND OTHER REPRESENTATIVE FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY INTEGRA AND ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER INTEGRA OR SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

Data Privacy

Integra considers your use of the site to be private. However, Integra may access, disclose, or preserve information associated with your use of the site, including, without limitation, your personal information and content, or information that Integra acquires about you through your use of the site (including IP address and third-party information) when Integra forms a good-faith belief that doing so is necessary (a) to comply with applicable law or to respond to legal process from competent authorities, or (b) to enforce these Terms of Use or the PPA, or (c) to protect the rights or property of Integra or Integra’s customers.

Integra retains the right to block or otherwise prevent delivery of any type of email or other communication to or from the site as part of Integra’s efforts to protect the site, protect Integra’s customers, or stop you from breaching these Terms of Use. The technology or other means Integra uses may hinder or prevent your use of the site.

In order to provide you the site, Integra may collect certain information about site performance, your machine/computer and your site use.

Disclaimer of Warranties

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS ONLY. YOUR USE OF THE SITE IS AT YOUR AND THE COMPANY’S SOLE RISK. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, INTEGRA MAKES NO, AND HEREBY DISCLAIMS, ANY AND ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR USE OR PURPOSE. INTEGRA DOES NOT WARRANT THAT THE SITE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENT, THAT IT WILL BE AVAILABLE AT ALL TIMES, OR THAT WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

Limitation of Liability

INTEGRA WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM OR RELATED TO YOUR OR THE COMPANY’S USE OF THE SITE, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF SUCH DAMAGES WERE FORESEEABLE. IF APPLICABLE LAW LIMITS THE APPLICATION OF THE FOREGOING, INTEGRA’S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMISSIBLE. THE LIABILITY LIMITS AND DISCLAIMERS SET FORTH HEREIN APPLY EQUALLY TO INTEGRA’S EMPLOYEES, MEMBERS, OFFICERS, DIRECTORS AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS AND OTHER REPRESENTATIVES.

Hold Harmless.

You agree to indemnify, defend and hold harmless Integra and its employees, members, officers, directors and its affiliates, licensors, service providers and other representatives from any liability, loss, claim, suit, damage, and expense (including reasonable attorneys’ fees and expenses) related to your use of the site and/or any violation of these Terms.

Applicable Law and Disputes.

These Terms of Use shall be governed by and construed in accordance with the laws of the State of New York, and the federal laws of the United States of America, without giving effect to its conflict of laws provisions. You agree to submit to the personal and exclusive jurisdiction of the state or federal courts, as applicable, located within New York, New York. YOU EXPRESSLY WAIVE ALL RIGHTS TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING UNDER THIS TERMS OF USE.

Other Miscellaneous Provisions.

These Terms of Use constitute the sole and entire agreement between you and Integra with respect to you and the Provider’s use of the site and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the site

We may assign our rights and delegate our duties under this Agreement either in whole or in part at any time, at our sole discretion, and without your consent. You may not assign, sublicense, or otherwise transfer your rights or obligations, in whole or in part, under this Agreement to anyone else.

This Agreement does not establish any relationship of partnership, joint venture, employment, franchise, or agency between you and us.

PRIVACY POLICY

Integra Partners Holding, Inc. (“Integra”, “we”, “us”, “our”) maintains and operates the Que portal as well as provides Network Benefit Management services for Health Plans, its members, and DMEPOS Providers (“Providers”).

Your privacy is important to us. In order to better help you protect your privacy, we have provided this notice explaining our online information practices. This privacy notice will explain the information that we collect, how it is protected, how it is used, and what choices you have on how it is used. We ask that you read this notice to better understand our commitment to you and your privacy.

Website and Information Security

We utilize reasonable and appropriate security methods to protect the security and integrity of information submitted through this website from destruction, loss, alteration, or unauthorized access. However, due to the nature of online communications, we cannot guarantee that any information transmitted on-line will remain absolutely confidential, and we are not liable for the illegal acts of third parties such as criminal hackers.

What information is collected

  • Information you provide to Integra directly
  • Information Integra collects when you contact us by phone or visiting our sites
  • Information Integra receive from Providers who have obtained consent to share information or have ensured that other companies from whom they have received your information are permitted to share it with them.

Health Insurance Portability and Accountability (“HIPAA”) protected health information (“PHI”) is any personally identifiable information relating to an individual’s medical record and history that was created, used or otherwise disclosed during registration, consultation, diagnosis, or treatment. Integra collects and processes PHI that Providers or Health Plans submit on behalf of members. Integra is committed to maintaining and protecting the confidentiality of all PHI that identifies an individual’s past, present, or future personal health conditions.

  • Information on personal health and insurance submitted through Que or provided on behalf of the Provider or Health Plan
  • Name
  • Date of Birth
  • Phone Number
  • Address (including street address, city, zip code and state)
  • Email Address
  • Social Security Number
  • Medical Record Number
  • Health Plan Number
  • Insurance Information
  • Clinical, Facility and Supplier Information
  • Any other unique identifying numbers, characteristics, or codes

As a Business Associate of healthcare providers that are Covered Entities under the federal healthcare privacy and security rules, HIPAA and the Health Information Technology for Economic and Clinical Health Act (“HITECH”), Integra is dedicated to upholding compliance with the receipt, disclosure, and handling of PHI in accordance with these rules and our contractual obligations with Providers.

Integra collects and utilizes information for the sole purpose of facilitating services for our network of Providers and health plans. We may also collect information for the purposes of marketing, enhancing and monitoring the user experience, and other related business purposes. We never sell the PHI that we collect.

Retention

Integra will not retain personal information for longer than is necessary to fulfill business purposes, unless required by law.

Interactive Areas

Integra is not responsible for information that is voluntarily provided by the user in interactive areas (i.e. discussion groups, message boards, on-line chats). Please be aware that if you are active in a public forum, you should be thoughtful about what your write and adjust your actions appropriately. Information divulged through these mediums may in fact increase future solicitations by people or companies not affiliated with Integra, nor with affiliating health plans and medical providers.

Third Party Sites and Links

Integra provides links to other Internet sites maintained by third parties. When you click on these links, you are moving to another web site. Please be aware that Integra is not responsible for the privacy practices of other sites. Integra encourages our users to be aware when they leave our site and to read the privacy statement of each and every site, as their policies may be different from ours. This privacy statement applies solely to information collected by the Integra web site. This Privacy Notice does not apply to information collected by our business partners, affiliated members, on any third-party site or by any third-party application that may link to or be accessible from this site.

Log Files

Integra employs web logs and user IDs to analyze trends and audit application use for performance purposes. Integra collects logs about all visitors automatically, such as IP addresses, browser type, date and time stamps, and internet service provider (ISP). Integra uses this information to monitor usage levels, diagnose server issues, and to effectively administer our Site.

Access to Certain Website Content

In order to access certain of our website content, users must be an authorized participating provider. This information accessible to such participating providers is intended to support our health plans, their members, and providers by authorizing user access and enabling user contact regarding services and features available on this site. It is not used for any other purposes; the data is not sold.

Accessing, Adjusting, Removing or Updating Information

If you would like to exercise any privacy rights or access, adjust, update, remove, or obtain a copy of any PHI relevant to your objective, please contact us at the information provided below. We will respond to such requests in accordance with the requirements of applicable data protection laws, and in compliance to HIPAA and HITECH regulations. As mentioned, some information may require our retention for such purposes as recordkeeping, auditing, or compliance.
